These Terms of Service ("Terms") govern your use of the ClearPath Advisory Group website (clearpath-advisory.live) and the consulting services provided by ClearPath Advisory Group ("ClearPath," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our website, or by engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, please do not use our website or services.

2. Our Services

ClearPath Advisory Group provides business consulting services, including but not limited to:

  • Strategic planning and roadmap development
  • Business growth consulting and market expansion advisory
  • Financial advisory and analysis
  • Operational efficiency and process improvement
  • Market analysis and competitive intelligence
  • Leadership development and executive coaching

The specific scope, deliverables, timelines, and fees for any engagement will be outlined in a separate engagement letter or statement of work agreed upon by both parties.

3. Engagement Terms

All consulting engagements are subject to a written engagement letter or statement of work that will specify:

  • Scope of services and deliverables
  • Project timeline and milestones
  • Fees, payment terms, and billing schedule
  • Roles and responsibilities of each party
  • Confidentiality and non-disclosure obligations
  • Termination provisions

In the event of any conflict between these Terms and a signed engagement letter, the engagement letter shall prevail.

4. Client Responsibilities

To ensure the success of our consulting engagements, clients agree to:

  • Provide accurate, complete, and timely information and documentation as requested
  • Make key personnel available for meetings, interviews, and reviews
  • Provide timely feedback on deliverables and recommendations
  • Honour agreed-upon payment schedules
  • Inform ClearPath of any material changes to the business that may affect the engagement

5. Fees and Payment

Fees for our services are outlined in the applicable engagement letter. Unless otherwise specified:

  • All fees are quoted in Canadian dollars (CAD)
  • Applicable taxes (including GST) will be added to all invoices
  • Invoices are payable within 30 days of the invoice date
  • Late payments may be subject to interest at a rate of 1.5% per month
  • Expenses incurred on behalf of the client (travel, materials, etc.) will be invoiced separately at cost

6. Intellectual Property

Unless otherwise agreed in writing:

  • All reports, analyses, frameworks, and deliverables created specifically for a client engagement become the property of the client upon full payment of all fees.
  • ClearPath retains ownership of its proprietary methodologies, tools, templates, and general knowledge, regardless of their use in a client engagement.
  • ClearPath may reference the general nature of work performed (without disclosing confidential details) for marketing and portfolio purposes, unless the client requests otherwise in writing.

7. Confidentiality

ClearPath treats all client information as confidential. We will not disclose, share, or use any client information for purposes other than performing the agreed-upon services, except:

  • With the client's prior written consent
  • As required by law, regulation, or legal process
  • To protect the rights, property, or safety of ClearPath, its employees, or others

Clients also agree to maintain the confidentiality of ClearPath's proprietary methodologies and materials.

8. Limitation of Liability

Our consulting services are provided in an advisory capacity. While we strive to provide high-quality advice based on our professional expertise and available information:

  • We do not guarantee specific business outcomes, financial results, or returns on investment.
  • Our recommendations are based on the information provided to us, and we are not liable for decisions made based on incomplete or inaccurate information.
  • To the maximum extent permitted by law, ClearPath's total liability for any claim arising from an engagement shall not exceed the total fees paid for that specific engagement.
  • ClearPath shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

9. Termination

Either party may terminate a consulting engagement by providing 30 days' written notice. In the event of termination:

  • The client is responsible for paying fees for all work completed up to the date of termination
  • ClearPath will deliver all completed work products to the client
  • Both parties will continue to honour confidentiality obligations

ClearPath reserves the right to terminate an engagement immediately if the client fails to make payments when due or breaches the terms of the engagement letter.

10. Website Use

When using our website, you agree not to:

  • Use the website for any unlawful or prohibited purpose
  • Attempt to gain unauthorised access to our systems or data
  • Interfere with or disrupt the website's functionality
  • Copy, reproduce, or distribute website content without our written permission
  • Use automated tools to scrape or extract data from the website

11. Disclaimer of Warranties

Our website and its content are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the accuracy, completeness, or reliability of the information on our website. The information on this website does not constitute professional advice and should not be relied upon as such without engaging our services directly.

12. Indemnification

You agree to indemnify and hold harmless ClearPath Advisory Group, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our website or services, your breach of these Terms, or your violation of any applicable law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved in the courts of Calgary, Alberta.

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use of our website or services after any modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
